Booking Terms

These terms govern all bookings of Models and Talent (“Talent”) through Mainboard Models (“Agency”). By confirming a booking, the Client agrees to the following unless otherwise negotiated in writing.

Payment Terms

  • Net 30 from invoice date unless otherwise agreed.

  • First-time Clients may be required to provide a credit card or prepayment to secure booking.

  • Invoices under $500 may require a credit card guarantee, to be charged in the event of nonpayment.

  • Late payments incur a 5% monthly finance charge (or the maximum amount permitted by law).

  • All fees exclude sales tax, which is payable by the Client.

  • International wire fees are the responsibility of the Client.

Agency Fees

  • Agency service charge of 20% applies to all non-union projects, including Talent fees, usage fees, and renegotiated fees.

  • Reimbursable expenses are subject to an additional 10% service fee.

Releases

  • Any release, waiver, or service agreement required by the Client must be submitted to the Agency for review at least two (2) business days prior to the first work day.

  • Talent may not sign releases without Agency approval. Any release signed without prior approval will be considered void.

  • All releases are contingent upon receipt of full payment, including usage fees and agency service charges.

  • The Client must provide the Agency with copies of all signed releases for filing.

Usage Rights & Likeness

  • Unless otherwise agreed, Talent and Agency fees grant the Client a 1-year license from first use (or three (3) months after production, whichever is earlier).

  • Usage is limited to the United States and to the specific purposes agreed at booking.

  • Additional usage (e.g., billboards, packaging, broadcast, international, exclusivity, AI likeness replication, or biographical/name use) requires prior negotiation and additional fees.

  • AI & Digital Replication: Use of a Talent’s likeness, voice, performance, or biometric data for artificial intelligence training, synthetic media, or any digital replication requires separate written negotiation. Any unauthorized use is void and unenforceable.

  • All usage rights are contingent upon full payment of all fees.

Rates & Overtime

  • Print day rate: Based on an 8-hour day.

  • Film/Video day rate: Based on a 10-hour day.

  • Hourly bookings: Must be pre-approved in advance and are billed by the hour, rounded up to the nearest 30 minutes.

  • Overtime:

    • Print Shoots: 1.5x rate after 8 hours.

    • Film/Video Shoots: 1.5x rate after 10 hours.

    • 2x rate after 12 hours in a 24-hour period.

    • 1.5x rate on Saturdays; 2x rate on Sundays and federal holidays.

    • Special rates apply for call times between 6:00 PM – 8:00 AM.

Travel & Expenses

  • Travel Days: Paid at 50% of the hourly/daily rate for required flights or car travel exceeding 2 hours.

  • Mileage: Federal mileage rate applies for travel over 50 miles (unless otherwise agreed).

  • Location Bookings: Client must cover/prepay airfare, ground transport, hotel (private room per Talent), and baggage fees.

  • Per Diems:

    • 3 meals provided = no per diem.

    • 2 meals = $35/day.

    • 1 meal = $25/day.

    • No meals = $50/day.

On-Set Conditions

  • Meals: Production must provide meals for full-day bookings.

    • If Talent must remain on set for meals, the day is billed straight through.

    • If Talent is allowed to leave for a one-hour lunch break, the break is not billed.

  • Changing Facilities: Talent must be provided with a clean, private, and secure changing area. Changing spaces should be gender-inclusive and respectful of all identities.

  • Breaks: Food and rest breaks are required after 5 hours and are not deducted from Talent’s rate.

  • Safety: Client is responsible for maintaining a safe environment for all Talent.

Additional Fees

  • Fittings: $100/hour + 20% agency fee (unless otherwise agreed).

  • Technical Advice/Consulting: Requires prior negotiation and compensation.

  • Exclusivity: Engagements that restrict Talent from working with competitors require a negotiated exclusivity fee.

  • Other Services (e.g., PR appearances, promotional events) must be negotiated separately.

Cancellations

  • Confirmed Bookings:

    • Less than 2 business days prior = Full fee + 20% agency service charge.

    • Within 3 business days = 50% fee + 20% agency service charge.

    • Within 5 business days for multi-day bookings = Full fee + 20% agency service charge.

  • Provisional Holds: Automatically cancelled if not confirmed within 3 business days. Cancellation fees apply as follows:

    • 1-day hold: 25% fee if cancelled within 1 business day.

    • 2-day hold: 25% fee if cancelled within 2 business days.

    • 3+ day hold: 25% fee if cancelled within 3 business days.

  • Weather Cancellations:

    • First occurrence = 50% fee (100% if Talent has already traveled to shoot location).

    • Subsequent cancellations = 100% fee.

  • Talent Cancellations: If Talent must cancel due to illness, emergency, or overriding professional responsibility, the Agency is not liable for Client’s losses. Completed work will be paid on a pro-rata basis.

Intellectual Property & Test Work

  • Usage beyond agreed terms is prohibited without negotiation and additional fees.

  • Test or experimental images may not be used commercially without prior approval.

  • All rights not expressly granted remain with the Talent.

Client Responsibilities

  • Provide complete billing information, usage details, shoot location, wardrobe/hair/makeup requirements, and weather contingencies at booking.

  • Report complaints promptly during the booking; retrospective complaints will not be considered.

  • All negotiations regarding Talent must be conducted solely with the Agency.

Client Acknowledgement as Hiring Entity

  • Client acknowledges that Talent are not employees or independent contractors of Mainboard Models. Any employment or independent contractor relationship exists solely between the Client and the Talent.

  • Client is solely responsible for determining whether Talent should be classified as an employee or independent contractor and releases Mainboard Models from all liability related to misclassification.

  • As the Talent’s agent, Mainboard Models is not responsible for obligations associated with employing Talent, including (but not limited to) payroll taxes, income tax withholding, social security, unemployment or disability insurance, or compliance with child performer trust (Coogan-type) requirements.

  • Client understands that Mainboard Models does not control or direct the professional services rendered by Talent. Talent are solely responsible for the quality and content of their work while engaged by the Client.
